Terms of Service

1. Acceptance of Terms

By accessing the website or engaging Jungletech S.r.l. for services, you agree to be bound by these Terms of Service. If you do not accept these Terms, please do not use our services.

2. Services Description

Jungletech provides AI-driven software development services, including machine learning engineering, computer vision systems, natural language processing, and predictive analytics. The specific scope of services is set out in individual project agreements.

3. Project Engagement

When you engage Jungletech for a project:

• You agree to provide accurate and complete information
• You will respond to information requests in a timely manner
• You acknowledge that timelines depend on your cooperation
• You accept the payment terms set out in the project agreement
• You acknowledge that deliverables are defined in the project scope

4. Intellectual Property

Client Data: you retain all rights over data and content you provide. We will use your data only to deliver the agreed services.

Deliverables: upon full payment, you receive the intellectual property rights over the custom deliverables produced specifically for your project, as set out in the agreement.

Pre-existing IP: Jungletech retains ownership of any pre-existing intellectual property, tools, frameworks, and methodologies used in delivering the services.

5. Confidentiality

We maintain the confidentiality of all proprietary information shared during our engagement. This includes business strategies, technical data, and any information marked as confidential. We will not disclose such information without your consent, unless required by law.

6. Payment Terms

Payment terms are set out in individual project agreements. As a general rule:

• An initial deposit may be required to start the work
• Milestone payments are defined in the agreement
• Invoices are due within 30 days unless otherwise agreed
• Late payments accrue statutory interest under Italian Legislative Decree 231/2002
• We reserve the right to suspend work in case of overdue invoices

7. Warranties and Disclaimers

Our Commitment: services are provided with reasonable skill and care, in line with industry best practice.

No Guarantees: AI and machine learning systems have inherent limitations. We do not guarantee specific performance or business outcomes.

Third-party services: our services may integrate third-party platforms. We are not responsible for the performance or availability of such third parties.

8. Limitation of Liability

To the maximum extent permitted by Italian law, Jungletech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of profits, revenue, data, goodwill, or other intangible losses. In any case, our aggregate liability shall not exceed the fees paid by the Client for the specific project.

9. Project Changes and Cancellation

Scope changes: any change in scope may result in adjustments to timelines and costs. Changes must be agreed in writing.

Cancellation: either party may terminate the engagement with written notice. The Client shall pay for the work completed up to the date of termination.

10. Maintenance and Support

Post-delivery maintenance and support are available under separate agreements. The initial delivery includes a warranty period as defined in the project agreement.

11. Compliance and Regulatory Requirements

Both parties agree to comply with applicable laws, including data protection, export controls, and any sector-specific regulations. The Client is responsible for ensuring that the use of deliverables complies with all applicable laws.

12. Governing Law and Jurisdiction

These Terms are governed by Italian law. For any dispute arising from or relating to these Terms or our services, the parties agree to attempt an amicable resolution. Should this fail, the Court of Foggia (Italy) shall have exclusive jurisdiction, except where otherwise mandated by applicable consumer protection law.

13. Modifications to Terms

We reserve the right to amend these Terms at any time. We will notify active clients of any material changes. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
